General

These Terms of Use (“ToU”) are applicable for all users (“users”) of resources, content, software, materials and other information made available by Monadd Ltd, a company registered under the laws of the United Kingdom with registration no. 11471322, and with registered offices at 33 Foley Street, Work.Life, London, UK W1W 7TL (“Monadd”) on its websites or otherwise. This ToU is not exhaustive and incorporates Monadd’s other policies, including our Privacy Policy.


Subject matter of ToU

This ToU applies to the use of the service provided by Monadd to the user (“the Service”) which enables the user to change their postal address as listed with select service providers. The use of the Service by a user is governed by this ToU and any other supporting documentation as issued and directed by Monadd, and takes precedence over any other versions.

Agreement

This ToU is a legally-binding agreement between the user and Monadd. By using the Service, the user agrees to be bound by the terms contained herein, as well as any other supplementary terms and conditions implemented by Monadd regarding the use of the Service. If the user does not agree with this ToU, they are not permitted to use the Service.

Eligibility

By using the Service, the user represents and warrants that they meet the requirements for eligibility set out below. Failure to provide accurate information regarding eligibility may result in Monadd suspending the user’s access or use of the Service or any other appropriate action. Monadd reserves the right to deny use of the Service to certain users regardless of eligibility, and further reserves the right to modify the eligibility criteria at any time.

In order to be eligible for use of the Service, a user must be at least 18 years old and have contractual capacity at the time of enrollment. The Service may only be used for personal use of the user, and not for the benefit of a third party.

Rights of User

Upon successful registration for the Service, Monadd hereby grants the user the limited, non-exclusive, non-transferable, and non-sublicensable right to access and use the Service solely for their use only. Users also have the rights in respect of their personal data as outlined in the Privacy Policy. The user does not have any rights to the Service except as expressly granted by Monadd in this ToU or Monadd’s Privacy Policy.

Duties of User

In accessing and using the Service, the user has the following duties to Monadd. These are non-exhaustive, and Monadd reserves the right to modify or update these duties at any time.

Accuracy of information

When a user creates an account with Monadd, the user undertakes to furnish Monadd with information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of this ToU, and may result in termination of the user’s account.

Limitation of Access

The user will not, and will not permit or authorize third parties to,

  1. rent, lease or otherwise permitting third parties to use the Service;
  2. use the Service to provide services to third parties (e.g., as a service bureau);
  3. breach, circumvent, tamper with or disable any security or other technological features or measures of the Service;
  4. attempt to probe, scan or test the vulnerability of any systems related to the Service, including penetration or load tests; or
  5. attempt to discover the underlying structure, technology or algorithms of the Service. The Service and any related software is subject to applicable export control laws and regulations. You agree to comply strictly with all such laws and regulations as they relate to the Service and such software, and, to the extent consistent with this Agreement, to obtain any necessary license or other authorization to export, reexport, or transfer the Service or such software when required.

The user is responsible for maintaining the security of their account passwords, and will take reasonable steps to prevent unauthorized access to the Service. If there is unauthorized access to the Service directly or indirectly through the user, the user will immediately inform Monadd of this in writing. The user will further take reasonable steps to terminate the unauthorized access, and will assist Monadd with any actions taken by Monadd to terminate unauthorized access to the Service. The user will be liable for any activity conducted through their account by third parties with unauthorized access.

Improper Use

The user agrees to use the Service only for the purpose it was designed, namely to change their postal address as listed with select service providers, and any activity related to this objective. The user further agrees to use the Service in compliance with applicable laws. The user will not use the Service improperly. Examples of improper use include use of the Service to:

  1. Harass, stalk, defame, abuse, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others;
  2. Post, upload or disseminate any obscene, indecent, profane, defamatory or other inappropriate or illegal material;
  3. Use the Service in connection with surveys, contests, raffles, games, pyramid schemes, marketing, chain letters, junk email, spamming or any duplicative or unsolicited messages;
  4. Collect or store personally identifying information about other users for commercial or unlawful purposes;
  5. Make any sexual request on behalf of, or to, a minor, or cause harm minors in any other way;
  6. Impersonate anyone;
  7. Employ misleading addresses or false information;
  8. Upload, or otherwise make available, files that contain images, photographs, software or other material protected by intellectual property laws or by rights of privacy or publicity,, including copyright or trademark laws, unless you own or control the rights thereto or have received all necessary approvals;
  9. Use any material or information, including images or photographs, which are made available through the Service in any manner that infringes anyone’s proprietary right;
  10. Upload, post, e-mail or otherwise transmit files that contain so-called viruses, Trojan horses, worms, time bombs, trap doors, corrupted files, or any other similar software or programs that may damage the operation of anyone’s computer or property or adversely affect the quality, performance or functionality of the Service;
  11. Advertise or offer to sell or buy any goods or services for any business purpose, unless such the Service specifically allow such messages;
  12. Inhibit or restrict any other user from accessing or using the Service;
  13. Delete or falsify any copyright information, such as author attributions, legal or other proper notices, or proprietary designations, or labels of the origin or source of software, or other material contained in a file that is uploaded;
  14. Download any file posted by another user that the user knows, or reasonably should know, may not be legally reproduced, displayed, performed, or distributed in such manner;
  15. Violate any code of conduct or other guidelines which may apply to a particular feature of the Service;
  16. Collect information about others, including e-mail addresses;
  17. Use, download or otherwise copy, or provide (for a fee or otherwise) to third parties any directory of users of the Service or other logs of user information;
  18. Decompile, disassemble, modify, translate, adapt, reverse engineer, create derivative works from or sublicense any software employed in connection with the Service.

Payment

Monadd’s services are fee-based and the extent of the service provided is calculated according to a tier-system that is set out on our Pricing page. When a user registers for a fee-based Service, the user undertakes to pay Monadd all applicable fees for the tier of services selected by the user. A valid credit card is required to access the Service. Fees are non-refundable, except as required by law or otherwise expressly permitted by this ToU.

Rights of Monadd

Intellectual property ownership

Monadd is the sole and exclusive owner of all rights, titles and interests in and to the Service and all related documentation, source code, tools, scripts, processes, techniques, methodologies, inventions, know-how, concepts, formatting, arrangements, visual attributes, ideas, database rights, copyrights, patents, trade secrets, and other intellectual property, and all derivatives, enhancements, modifications and improvements thereof. Nothing in this ToU or any other document shall be deemed to transfer ownership of the above, and all rights in same are reserved.

Interruption, suspension or termination of access or use

Monadd reserves the right to interrupt, suspend or terminate access or use of the Service by any user at any time for any reason, including but not limited to non-payment, breach of this ToU, or maintenance of the website. Monadd will notify the user in writing of the interruption, suspension or termination of access or use, the reason for the decision, as well as the consequences thereof. In the event of a termination of access or use, the user undertakes to immediately destroy any materials downloaded or otherwise obtained from their use of the Service.

Duties of Monadd

Provision of Service

Monadd agrees to make the Service available to users in accordance with the scope of their registration and the terms of this ToU. It does not constitute a breach of this ToU if availability is interrupted due to maintenance or otherwise, and Monadd is not liable for any loss resulting from an inability to access the Service.


Handling of personal data

Monadd collects and processes the personal data of users only for the purpose of effectively providing the Service and fulfilling other obligations to the user or in terms of an applicable law. Monadd is committed to ensuring the privacy and security of user data, and our practices comply with the EU General Data Protection Regulation 2016/679 (“GDPR”). The relationship between Monadd and the user in respect of the user’s personal data is governed by the Monadd Privacy Policy. By registering with the Service, the user agrees that they have familiarised themselves with, and consented to, the terms of the Privacy Policy.

Liability

Monadd is liable to the user under applicable law and this ToU and any other Monadd policy governing the relationship between Monadd and the user. Monadd is further liable for harm to the user arising from wilful intent or gross negligence by Monadd. Where harm has arisen from wilful intent or gross negligence, Monadd’s liability is limited to damage typical of this ToU and that was foreseeable at the time of conclusion of this ToU.

Limitation of Liability

To the maximum extent permitted by applicable law, Monadd assumes no liability or responsibility for any (i) errors, mistakes, or inaccuracies of content on our website; (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to and use of the Service; (iii) any unauthorized access to or use of our secure servers and/or any and all personal information stored therein; (iv) any interruption or cessation of transmission to or from the Service; (v) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service by any third party; (vi) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service; and/or (vii) user content or the defamatory, offensive, or illegal conduct of any third party. The user fully indemnifies Monadd and its affiliates against all losses and damages arising due to breach of this ToU by the user, or the user’s lawful use of the Service, or in the event of any claim or legal proceedings brought against Monadd by a third party as a result of these. Losses and damages include, but are not limited to, loss of profits or goodwill, normal or special damages, intangible losses, and other costs.  

In particular, notwithstanding reasonable efforts by Monadd to ensure the completeness and accuracy of the content on our website, including omissions and links to third party content, Monadd makes no warranties or representations thereof, and accepts no liability for any loss or damage arising out of a user’s reliance on this.

Amendments

Monadd reserves the right to amend this ToU at any time and without prior notice. Any changes to the ToU will be binding and effective immediately unless otherwise stated. Monadd will inform users of amendments to the ToU in writing as soon as practicable thereafter, and an updated version of this ToU will be uploaded to Monadd’s website.

Termination

Monadd may terminate any contractual agreement between Monadd and the user, including any license granted under this ToU, in the event of a breach of this ToU by the user or any other reason. In the event of such termination, Monadd will notify the user in writing as soon as practicable thereafter. In the event of a termination of the contractual relationship between Monadd and the user, the user undertakes to immediately destroy any materials downloaded or otherwise obtained from their use of the Service.

Governing Law

This ToU and all other documentation from Monadd is governed by laws of England and the United Kingdom, and any dispute arising from these agreements falls under the exclusive jurisdiction of the courts of England. Except to the extent required by English law, Monadd does not warrant that this ToU complies with the regulatory requirements of other jurisdictions. Users who access or use the Service from another jurisdiction undertakes to comply with their local laws.

Miscellaneous Provisions

  1. This ToU, and any documentation incorporated by reference herein, is the entire agreement between Monadd and the user with respect to the Service, and supersedes all prior or contemporaneous communications and proposals (whether oral, written or electronic) with respect to the Service;
  2. This ToU does not establish a joint venture, partnership, employment or agency relationship between Monadd and the user. The user will not hold themselves out as a representative, agent or employee of Monadd, including by omission, and Monadd will not be liable for any loss, damage or reliance on such representation.
  3. If any provision of this ToU is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary. The limitation or elimination of the term will not affect other terms;
  4. Monadd is not liable for a failure to perform any obligations under this ToU due to force majeure or any other cause beyond its reasonable control, including, but not limited to, natural disasters, political instability, energy blackouts, telecommunications disruptions, lockdowns, strikes and unexpected regulations.
  5. Neither Monadd nor the user are permitted to assign, transfer, or sublicense this ToU without first obtaining the other party’s written consent;
  6. Monadd’s failure to enforce any part of this ToU does not constitute a waiver of Monadd’s right to later enforce that or any other part of this ToU. A waiver of this right is only valid if granted in writing by an authorized representative of Monadd.
